These Terms and Conditions ("Terms") govern your use of the HootHoot website and your purchase of services offered through HootHoot. HootHoot is operated by YAYMIN INC ("HootHoot," "we," "us," or "our").By accessing our website, purchasing a subscription, or using our services, you agree to these Terms.

1. Services
HootHoot provides Answer Engine Optimization ("AEO"), Search Engine Optimization ("SEO"), content creation, visibility tracking, keyword research, and related digital marketing services.We currently offer the following subscription plans:Hoot Basic — $299/monthHoot Basic includes:2 highly curated articles per monthCompetitor keyword researchAI and SEO optimizationMonthly visibility trackingHoot Advanced — $499/monthHoot Advanced includes:Everything included in Hoot Basic4 highly curated articles per monthReal-time visibility optimizationPriority strategy supportSpecific deliverables, features, tools, or methods used to provide these services may evolve over time as search engines, AI platforms, and industry best practices change.Unless otherwise agreed to in writing, HootHoot retains discretion over the strategy, methodology, tools, and processes used to provide the services included in each plan.

2. Subscription and Billing
Hoot Basic and Hoot Advanced are recurring monthly subscriptions.Subscription payments are processed through Stripe. By purchasing a subscription, you authorize Stripe to charge your selected payment method for the applicable subscription fee and any applicable taxes on a recurring basis.Payment processing is subject to Stripe's applicable terms, policies, and conditions.HootHoot does not directly store or process your full payment card information.Subscription prices may be changed from time to time. Any pricing change affecting an existing customer will be communicated before the new price applies to a future billing cycle.

3. Cancellation by Customer
You may cancel your HootHoot subscription at any time.Cancellation prevents your subscription from renewing for the next billing cycle. Cancellation does not terminate the current paid billing period. If you cancel during an active billing cycle:You will not be charged for the following billing cycle.Your subscription will remain active through the end of the current paid billing period. HootHoot will continue providing the services and deliverables associated with your plan through the remainder of that billing period.Unless required by applicable law, payments already made for the current billing period are non-refundable.Subscription cancellations and recurring billing management are handled through Stripe.

4. Cancellation or Termination by HootHoot
HootHoot reserves the right to discontinue providing services to a customer by providing at least 30 days' notice. During this notice period, we will continue providing the services included in the customer's active subscription, provided the customer's account remains in good standing.We may suspend or terminate services immediately in cases involving nonpayment, fraudulent activity, misuse of our services, abusive conduct, unlawful activity, material violation of these Terms, or other circumstances where continued service would reasonably create legal, security, or operational risk.

5. Customer Responsibilities
You agree to provide HootHoot with information, materials, approvals, website access, brand information, and other resources reasonably necessary for us to perform the services.You represent that you have the necessary rights and permissions to provide any content, trademarks, logos, data, website access, or other materials supplied to HootHoot.Delays in providing requested information, access, feedback, or approvals may affect our ability to complete deliverables within the applicable billing period.

6. SEO and AEO Results
SEO, AEO, search engines, artificial intelligence platforms, and digital discovery systems are controlled by third parties and are constantly changing.As a result, HootHoot does not guarantee any specific rankings, traffic increases, AI citations, AI visibility scores, search impressions, leads, sales, revenue, or inclusion within responses generated by AI platforms or search engines.Our services are designed to improve the structure, quality, relevance, authority, and discoverability of customer content using strategies and practices we believe may improve SEO and AEO performance.However, results will vary based on numerous factors outside of our control, including algorithm changes, competitors, website authority, search engine policies, AI model behavior, customer implementation, industry conditions, and third-party platforms.Past performance or improvements achieved for other customers do not guarantee future results.

7. Content and Intellectual Property
Unless otherwise agreed in writing, once all applicable subscription fees have been paid, customers may use the final articles and other customer-specific content created and delivered by HootHoot for their business.HootHoot retains ownership of its underlying processes, methodologies, templates, systems, research methods, software, frameworks, know-how, and other proprietary materials used to provide the services.HootHoot may use third-party software, artificial intelligence tools, analytics platforms, SEO tools, research tools, and other technologies when providing services.8. Customer Review of ContentAlthough HootHoot takes reasonable steps to produce accurate and high-quality content, customers are responsible for reviewing and approving content before publication.Customers are responsible for verifying claims relating to their business, products, services, pricing, legal requirements, medical information, financial information, regulated industries, or other information requiring specialized expertise.HootHoot is not responsible for errors or claims contained in customer-provided information.

9. Third-Party PlatformsOur services may involve or depend upon third-party platforms including search engines, AI platforms, analytics providers, website platforms, and payment processors.We do not control these third parties and are not responsible for changes to their algorithms, policies, availability, functionality, rankings, indexing, AI responses, or other actions.HootHoot is not responsible for interruptions or changes to services caused by third-party platforms.


10. Limitation of LiabilityTo the fullest extent permitted by applicable law, HootHoot and YAYMIN INC will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, loss of search visibility, loss of rankings, loss of AI visibility, or lost business opportunities arising from or related to the use of our services.To the fullest extent permitted by law, our total liability arising from or relating to the services will not exceed the amount paid by the customer to HootHoot during the three months immediately preceding the event giving rise to the claim.


11. No Professional Advice
Content, recommendations, research, and strategies provided by HootHoot are intended for marketing and informational purposes and should not be considered legal, financial, medical, accounting, or other professional advice.


12. Changes to Services or Terms
We may update these Terms from time to time to reflect changes to our services, pricing, business practices, legal requirements, or other operational needs.Updated Terms will be posted on the HootHoot website with a revised "Last Updated" date.Material changes affecting an active paid subscription will be communicated when reasonably appropriate.

13. Governing Law
These Terms and any dispute arising from them will be governed by the laws of Delaware, without regard to conflict-of-law principles, unless otherwise required by applicable law.
